What does it cost to form an LLC in Florida?
Florida separates mandatory state filing fees from optional documents. A service provider's preparation fee should also be shown separately so the business owner can see exactly what goes to the state.
Mandatory state fees
The Florida Division of Corporations currently lists $100 for Articles of Organization and $25 for the registered-agent designation. The mandatory total is therefore $125. A $5 certificate of status and $30 certified copy are optional, bringing the total to $160 only when both optional items are ordered.
Asega's published business-registration fee is $125 plus the state fee. The first $125 pays for administrative preparation and filing assistance; the government fee is passed through at actual cost and identified separately in the written quote.
Registered agent does not always mean a subscription
Every Florida LLC must designate a registered agent with a Florida street address who agrees to accept legal process. An eligible owner may often serve as the registered agent, but the address and agent information become public. Asega does not automatically add a recurring registered-agent subscription.
Information to prepare
Before filing, confirm the distinguishable LLC name, principal and mailing addresses, registered agent and acceptance, the people authorized to manage the company, and an email address for state notices. Florida recommends legal review when the articles need provisions beyond the state's minimum form.
Costs after formation
Formation is not the last state cost. The LLC generally files an annual report beginning the following calendar year. The current LLC annual-report fee is $138.75, and Sunbiz adds a $400 late fee after May 1.
