Florida annual reports: the May 1 deadline matters.
Florida LLCs and profit corporations generally file an annual report every year to maintain active status. The report confirms or updates the entity's public information; it is not a financial statement or tax return.
Deadline and late fee
The normal filing period runs from January 1 through May 1. For the 2026 report, Sunbiz states that a $400 late fee applies after 11:59 p.m. Eastern on May 1. An LLC annual report is $138.75 before the late fee; a profit-corporation annual report is $150. Filing late therefore raises the total substantially.
A business formed or made effective after January 1 generally does not file an annual report in that same calendar year. Its first annual report is normally due the following year. Always confirm the entity's status and current year instructions directly with Sunbiz.
What the report can update
The annual report can update principal and mailing addresses, registered-agent information, officers, directors, managers or authorized members, and the federal EIN. It does not change the legal name of the business; that normally requires a separate amendment.
What happens if it is not filed
Sunbiz explains that entities that remain unfiled can be administratively dissolved or revoked later in the year. Reinstatement requires an application and the associated annual-report and reinstatement fees. Filing on time is generally less expensive and less disruptive.
